(\u201cTSI\u201d or the \u201cCompany\u201d) (NASDAQ: CLUB) received a second notice on August 18, 2020 from the Listing Qualifications Department of Nasdaq indicating that, as a result of the Company\u2019s failure to timely file its Quarterly Report on Form 10-Q for the period ended June 30, 2020 (the \u201cSecond Quarterly Report\u201d), and because the Company remains delinquent in filing its Quarterly Report on Form 10-Q for the period ended March 31, 2020 (the \u201cFirst Quarterly Report,\u201d and together with the Second Quarterly Report, the \u201cReports\u201d), the Company remains in non-compliance with the continued listing requirements as set forth in Nasdaq Listing Rule 5250(c)(1). The notice has no immediate impact on the listing of the Company\u2019s common stock, which will continue to trade on the Nasdaq Global Market, subject to the Company\u2019s compliance with other applicable continued listing requirements.<\/p>\n<p>The notice advises that the Company has until September 8, 2020 to submit a plan to regain compliance with Nasdaq\u2019s continued listing requirements with respect to its delinquent Reports. If Nasdaq accepts the plan, Nasdaq can grant an exception of up to 180 calendar days from the filing due date of the First Quarterly Report, or until December 28, 2020, during which the Company can regain compliance.
